Additional Clauses for
Terms and Conditions

Prime API is a trading style of and provided by Wham Software Limited.

“Sources” shall mean Information Providers,exchanges and other providers and owners of data and news provided via a data or news feed as part of the Services offered under these Terms and Conditions.

1. Intellectual Property and Restrictions

• All services including software, data, charts, content, and news provided by Wham Software Limited, sourced from Wham Software Limited or its third-party licensors, remain the intellectual property of Wham Software Limited or such licensors.
• Users must not alter, reproduce, distribute, publish, sell, lease, sublicense, adapt, merge, decompile, disassemble, reverse engineer, or use in any way that could infringe upon intellectual property rights or proprietary interests of Wham Software Limited or its licensors.
• Users acknowledge unauthorized reproduction, or distribution may lead to civil or criminal penalties.

2. Data Usage Restrictions

• Users may only store, manipulate, analyse, reformat, print, and display the data, charts, content, and news for personal, non-commercial use.
• Users are strictly prohibited from publishing, retransmitting, redistributing, communicating, disseminating, or reproducing the provided content in any form to third parties.

3. End-User Compliance

• Users acknowledge that the use of services is subject to applicable laws and regulations in their jurisdiction and agree to comply with any conditions or restrictions set forth by Wham Software Limited, or third-party information providers ("Sources").
• Users must obtain prior written approval from relevant sources before accessing certain data or news content, where required.

4. Liability and Warranty Disclaimer

• The services and content provided through Wham Software Limited are provided "as is" without warranties of any kind, whether express or implied, including but not limited to warranties of accuracy, merchantability, fitness for a particular purpose, or non-infringement.
• Wham Software Limited, and any third-party licensors or information providers shall not be liable for any inaccuracies, errors, omissions, delays, interruptions, or any damages, including but not limited to consequential, incidental, indirect, punitive, or exemplary damages arising from the use of the services.

5. Security and Availability Disclaimer

• Wham Software Limited does not guarantee uninterrupted or secure access to the services. Users acknowledge the possibility of service disruptions and maintain responsibility for alternative access to financial data.
• Wham Software Limited disclaims all liabilities related to breaches of internet security, disruptions, or interruptions beyond its control, including cyber-attacks or unauthorized access.

6. Indemnification

• Users agree to indemnify and hold harmless Wham Software Limited, and their respective affiliates, employees, and third-party licensors from and against all losses, liabilities, damages, costs, or expenses arising from or related to;
  
  - User's breach of these terms.
  
  - User's unauthorized or prohibited use of provided content and services.
  
  - User's failure to comply with third-party licensing requirements or regulatory obligations.

7. Third-Party Content and Sources

• Users acknowledge that certain content provided may originate from third-party sources. Wham Software Limited explicitly disclaim all responsibility or liability regarding the accuracy, completeness, timeliness, or legality of third-party sourced information.

8. Content Attribution

• Users acknowledge and agree to comply with all attribution requirements imposed by Wham Software Limited, or third-party content providers. Required attributions, trademarks, copyright notices, or hyperlinks must be displayed where mandated.

9. Termination of Access

• Users’ access to services may be terminated immediately and without prior notice if Wham Software Limited's agreement with its licensors is terminated, or if users fail to comply with these terms, regulations, or third-party requirements.

10. Audit and Monitoring

• Users consent to reasonable monitoring and auditing by Wham Software Limited to ensure compliance with the terms of use and applicable third-party licensing agreements.
